# Terms of Service

## 1. Parties

These Terms of Service ("Terms") govern use of the **Lumezzo** application ("Service")

provided by the operator identified in the footer of the Service ("Operator", "we")

and the natural or legal person who creates an account ("Customer", "you"). By

creating an account you agree to these Terms.

## 2. The Service

The Service is a web application for managing rental properties: recording

properties, leases, tenants, income, expenses, invoices, mortgages, and related

financial and tax records. It is provided **as-is**, without warranty of

completeness or fitness for any particular regulatory filing. You remain solely

responsible for the accuracy of any data you enter and of any reports or filings

you submit to authorities.

## 3. Account registration

You may register only if you are at least 18 years old and legally able to enter

into a binding contract. You must provide accurate registration details, keep your

credentials confidential, and you are responsible for all activity under your

account.

## 4. Acceptable use

You agree not to: (a) upload unlawful content, (b) attempt to gain unauthorised

access to the Service or other customers' data, (c) interfere with the operation

of the Service, (d) resell or provide the Service to third parties without the

Operator's consent, or (e) use the Service to process personal data of third

parties without a lawful basis under applicable data-protection law.

## 5. Plans, fees and billing

5.1 The Service is offered under a free tier and one or more paid tiers ("Plans").

The features, limits and price of each Plan are displayed on the pricing page and

in your organisation's settings at the moment of subscription.

5.2 Paid Plans are billed in advance for the chosen **billing period** โ€” monthly or

yearly. The price for the full period is charged at the start of the period and is

**non-refundable** once the period has started, except where required by mandatory

consumer-protection law (see Section 8).

5.3 Payments are processed by a third-party **payment processor** identified on

the Subprocessors page of the Service. Card details are provided by you directly

to the payment processor and are never stored on the Operator's servers. The

payment processor's own terms and privacy policy apply to the payment

transaction.

5.4 The Operator may change pricing or the composition of Plans for future billing

periods. Any such change will be announced at least thirty (30) days before it

takes effect and will apply to your subscription from the next renewal only.

## 6. Automatic renewal

6.1 Every paid subscription **renews automatically** at the end of each billing

period for another period of the same length and at the then-current price, unless

you cancel it before the end of the period in accordance with Section 7.

6.2 Before each renewal the Operator will send a reminder to the organisation's

billing email address. Absence of such a reminder does not by itself prevent the

renewal from taking place.

## 7. Cancellation and termination

7.1 You may cancel auto-renewal at any time from the "Plan" tab in your

organisation's settings. Cancellation takes effect at the end of the current

billing period; until then you keep access to the paid features you have already

paid for.

7.2 After cancellation your organisation is automatically moved to the free tier

at the end of the billing period. You can re-enable auto-renewal before that date

to keep the paid Plan active.

7.3 The Operator may suspend or terminate a subscription for serious breach of

these Terms, non-payment, or where required to comply with law. Where termination

is for non-payment, the Operator will first mark the subscription as **past due**

and give you a reasonable opportunity to cure.

7.4 Upon termination the Operator will delete your organisation's data following

the grace period described in the Service's deletion flow.

## 8. Right of withdrawal (14 days) โ€” consumers only

8.1 If you are a consumer concluding the contract outside of a business activity,

you have the right to **withdraw from the contract within fourteen (14) days** of

its conclusion, without giving any reason and without penalty, under ยง 1829 of the

Czech Civil Code / Directive 2011/83/EU.

8.2 To exercise the right of withdrawal, send an unambiguous statement to the

support email address shown in the Service, or use the "Plan" tab to cancel

immediately. You may use the model withdrawal form provided in Annex I to

Directive 2011/83/EU, but it is not mandatory.

8.3 By starting to use the paid Service during the 14-day window you expressly

request that provision begins before the period expires. In that case, if you

subsequently withdraw, the Operator is entitled to a fee proportional to the part

of the Service already provided up to the moment of withdrawal. Where the paid

Service has been fully provided during the 14-day window with your prior express

consent, the right of withdrawal ceases.

8.4 Sections 8.1โ€“8.3 do not apply to customers acting in a business capacity, who

waive the statutory withdrawal right to the extent permitted by law.

## 9. Data ownership and data protection

9.1 All data you enter or upload remains yours. You grant the Operator a limited

licence to host, process, and display that data solely in order to provide the

Service.

9.2 The processing of personal data is described in the Privacy Policy. Where you

use the Service to process personal data of third parties (for example tenants),

the Data Processing Agreement forms an integral part of these Terms.

## 10. Disclaimer and liability

To the extent permitted by law, the Operator's aggregate liability arising out of

or in connection with the Service is limited to the fees paid by the Customer in

the twelve (12) months preceding the event giving rise to the claim.

## 11. Changes to these Terms

The Operator may update these Terms. Material changes will be communicated in-app

and require renewed acceptance before continued use.

## 12. Governing law and dispute resolution

These Terms are governed by the laws of the Operator's country of establishment,

without regard to conflict-of-laws rules. Consumers domiciled in the European

Union additionally benefit from any mandatory consumer-protection rules of their

country of residence and may use the online dispute-resolution platform at
